General Terms

These terms govern access to and use of exvoramiify services, including website resources and professional legal services provided to clients in the IT sector. By engaging our services or using the site, you accept these terms. The relationship between exvoramiify and a client is established only through a signed engagement letter or explicit written agreement outlining scope, fees and deliverables.

Eligibility

Services are available to businesses and individuals who can form legally binding contracts under applicable law. By using our services, you represent that you have the capacity and authority to enter into the engagement and accept these terms.

Clients must be of legal age to enter into contracts in their jurisdiction. Where minors seek services through a guardian, the guardian must provide verifiable authorization.

You agree to use our services lawfully and not for activities that violate local, national or international law. You will not use exvoramiify resources to facilitate fraudulent, malicious or infringing activities.

Availability of services may be limited by local regulations. exvoramiify operates primarily in Thailand and may decline engagements where legal or regulatory constraints prevent lawful provision of services.

Account and Client Records

When you register an account or engage exvoramiify, you must provide accurate client information. Proper records support accurate legal advice and compliance services tailored to IT industry needs.

You are responsible for ensuring information provided to exvoramiify is current and accurate. Material inaccuracies that affect advice or deliverables must be disclosed promptly.

Protecting access credentials is your responsibility. Use strong passwords and follow recommended security practices. Notify us immediately if you suspect unauthorized access.

Accounts, credentials and client relationships are non-transferable without prior written consent from exvoramiify and subject to verification and any required documentation.

If you believe your account has been compromised, notify us immediately. We will take reasonable measures to secure the account and assist with contribute consistent with legal obligations.

exvoramiify may suspend access to services when required for security, compliance or contribute, or when a client breaches these terms. Suspension is implemented to protect client interests and data integrity.

Scope of Services

exvoramiify provides legal advisory, contract drafting, regulatory compliance reviews, IP protection strategies, data protection counseling and dispute avoidance specific to the IT and software sector. Each engagement is defined by a statement of work or engagement letter.

We may modify service features or delivery methods to reflect regulatory updates, industry standards or operational needs. Substantive changes to retained services will be communicated and reflected in updated engagement documentation.

Service availability depends on staff capacity, required expertise and regulatory constraints. We will coordinate schedules and timelines with clients transparently and document agreed milestones.

Client Responsibilities and Rules

Clients must cooperate with exvoramiify and provide necessary information and access to personnel or documentation to enable effective legal counsel. The following rules apply to all engagements:

  • Provide complete and truthful information required for legal analysis and deliverables.
  • Maintain confidentiality of privileged communications as appropriate and notify us of any third-party disclosures.
  • Comply with agreed payment terms to avoid disruption of services.
  • Respect intellectual property and confidentiality obligations when sharing materials.
  • Coordinate promptly on approvals, feedback and decisions to meet project timelines.
  • Refrain from using exvoramiify branding, templates or proprietary materials beyond agreed use without permission.
  • Report potential conflicts of interest, regulatory issues or compliance breaches without delay.

Client Materials and User Content

Clients may provide documents, code samples, contracts and other materials necessary for legal services. These remain the client's materials, subject to license grants stated below.

You retain ownership of materials you provide to exvoramiify. We will use those materials solely to perform the engagement and for purposes specified in the agreement.

By providing materials, you grant exvoramiify a non-exclusive, revocable license to use, reproduce and copy those materials solely to deliver the agreed services and for internal quality assurance and compliance purposes.

You are responsible for ensuring you have rights and consents for materials provided. Do not submit personal data beyond what is necessary for the engagement without explicit instruction and appropriate safeguards.

Upon request or at the conclusion of the engagement, we will return or destroy client materials in accordance with the engagement agreement and applicable retention obligations.

Intellectual Property

IP rights arising from bespoke legal deliverables are governed by the engagement agreement. Unless otherwise agreed, ownership of pre-existing tools, templates, methodologies and internal IP used by exvoramiify remains with exvoramiify. Clients receive usage rights as specified in the engagement letter.

  • Do not reproduce or distribute exvoramiify proprietary materials beyond permitted use.
  • Do not reverse engineer, adapt or create derivative works from our proprietary tools without consent.
  • Respect third-party IP and notify us of any licensing constraints affecting provided materials.

Fees and Paid Services

Paid services include advisory retainers, project-based engagements and fixed-fee deliverables. Fees are set out in engagement letters or service orders and invoiced as agreed.

Pricing is based on scope, complexity, required expertise and time estimates. We provide written fee proposals and itemized billing when requested.

Payments are accepted via bank transfer or other agreed payment methods. Invoices are due according to the terms in the engagement letter. Late payments may result in suspension of services after notice.

Subscription or retainer arrangements will specify scope limits, renewal terms and termination rights. Renewal is subject to written agreement between parties.

Refunds are addressed in the engagement agreement and consider work completed and expenses incurred. Where a refund policy applies, it will be described in the client agreement.

Either party may terminate an engagement in accordance with the termination provisions. Clients are responsible for fees for work performed up to the termination effective date and any reasonable wind-down costs.

Clients are responsible for applicable taxes, duties or levies associated with services. Fees quoted may be exclusive of taxes unless stated otherwise.

exvoramiify reserves the right to adjust fees for new engagements to reflect changes in law, complexity or market conditions; existing, signed engagements remain subject to their agreed fees unless otherwise amended in writing.

Non-payment may result in suspension of services and collection actions. We will provide notice and an opportunity to cure before taking such measures, consistent with contractual terms and applicable law.

Professional Disclaimer

Information on exvoramiify.club and initial consultations are for general informational purposes and do not constitute legal advice until a formal engagement is established. Specific legal advice requires review of facts and documents and is provided only after acceptance of an engagement.

Limitation of Liability

To the extent permitted by applicable law, exvoramiify's liability arising from professional services is limited to direct damages related to the specific engagement and quantified in accordance with the engagement agreement. We are not liable for indirect, incidental, consequential or punitive damages, loss of benefit or data, except where mandatory law provides otherwise.

Third-Party Services

Where services involve third-party providers (e.g., technical due diligence, escrow, translation), exvoramiify acts as coordinator but is not responsible for third-party performance. Selection of third parties is made with care; clients may request alternatives or approve specific providers.

Termination

Either party may terminate an engagement in accordance with the termination clauses in the engagement letter. Termination may occur for convenience or for cause as defined in the agreement and subject to notice requirements.

Upon termination, outstanding fees and expenses become payable, deliverables completed up to termination will be provided, and access to ongoing services will cease. Confidential materials will be returned or destroyed as agreed.

Privacy and Data Processing

Our handling of personal data is described in the privacy policy. Data processing necessary to provide legal services includes client identification, contract management, regulatory filings and communications. We implement administrative, technical and physical measures to protect data appropriate to the risks and nature of processing.

Communications and Notifications

Notices under these terms must be sent to the addresses specified in the engagement letter or to contact points listed on the exvoramiify website. Electronic communications are valid; receipt is deemed when a confirming response is generated or when delivery is acknowledged.

Amendments to Terms

We may amend these terms to reflect legal or operational changes. Material amendments will be communicated to existing clients in advance where practicable. Continued use following notice constitutes acceptance of the amended terms.

Governing Law

These terms and any disputes arising out of the engagement are governed by the laws specified in the engagement agreement. For services delivered from Thailand, Thai law will commonly apply unless otherwise agreed in writing.

Dispute Resolution

Parties will attempt to resolve disputes amicably through negotiation and, if agreed, mediation. If unresolved, disputes will proceed to arbitration or courts as set out in the engagement agreement. We encourage pragmatic resolution tailored to preserving business operations.
